PinniSOFT and/or its affiliates ("PinniSOFT", “we”, “our”, “us”) provide services to “you”, “user”, “customer” when you visit or register with any of our services and products (collectively, "Services").

PinniSOFT and/or its licensors own the intellectual property rights and materials as well as our Services subject to the license below. All content included in or made available and software is the property of PinniSOFT or its content suppliers and protected by Ugandan and international copyright laws.

Unless otherwise stated, we do not grant you any right, license, title or interest to any of our intellectual property rights which you may or may not have access to. You agree to take such actions including any legal or official document or other documents that may be needed to further affirm our intellectual property rights.

You and PinniSOFT agree that none of the feedback you or your users provide to us constitute confidential information. You hereby grant us a perpetual, irrevocable right and license to exploit the Feedback in any and every way and subject to applicable law waive any moral rights in such Feedback. Feedback would be any suggestion or idea for improving our Services.

We give you a non-exclusive and revocable license to use the software offered by our Services in the manner acceptable by these Terms. This includes all updates, upgrades, new versions and replacement software to use in connection with our Services.

E. WHO IS PERMITTED TO USE OUR SERVICES?

1. Users that agree to form a binding contract with PinniSOFT.
2. A person not barred from receiving services under the applicable jurisdiction laws.
3. If you are accepting these Terms and using the Services on behalf of a company, business, or organization, it must be one you are authorized to and represent.

F. DISCLAIMERS AND LIMITATION OF LIABILITY.

1. YOUR USE OF OUR SERVICES ARE AT YOUR OWN RISK AND YOU ALONE WILL BE RESPONSIBLE FOR ANY DAMAGE THAT RESULTS IN LOSS OF DATA AND OR DAMAGE TO YOUR DEVICES.
2. ALL OUR SERVICES ARE OFFERED TO YOU ON AN “AS IS” OR “AS AVAILABLE” BASIS UNLESS OTHERWISE SPECIFIED IN WRITING.
3. YOU AGREE THAT PINNISOFT WILL NOT WAY BE LIABLE FOR ANY OVERALL DAMAGES WHETHER DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, SPECIAL AND OR EXEMPLARY. WE ARE ALSO NOT LIABLE FOR DAMAGES THAT MAY LEAD TO REVENUE AND OR PROFIT LOSS, BUSINESS INTERRUPTION OR ANY OTHER INTANGIBLE LOSSES (WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGES) FROM OUR SERVICES.
4. THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU IN THEIR ENTIRETY, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
5. YOU UNDERTAKE TO KEEP US IMMUNE AGAINST ANY LOSSES, DAMAGES, COSTS, LIABILITIES AND EXPENSES (INCLUDING WITHOUT LIMITATION TO LEGAL FEES) FROM ANY BREACH AND OR CLAIM BY YOU OF ANY PROVISION OF THESE TERMS.
6. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. YOU SHOULD EXERCISE CAUTION WHERE APPROPRIATE.

H. GOVERNING LAW.

These Terms shall be interpreted and governed in accordance with the Laws of the Republic of Uganda and you submit to the non-exclusive jurisdiction of the Federal Courts for the resolution of any dispute.

In the event that any of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full effect.

Any failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

I. USER REPRESENTATION.

As a user, you represent your responsibilities when using our Services. These include but may not be limited to;

1. Providing current, accurate information upon registration.
2. Update any and all information you provided that may need updating.
3. Agreeing to the Terms and all Policies our Services run by.
4. You access our services through legal and non-automated means.
5. Our services are to be used for only legal and authorized purposes.

We reserve the right to act at our discretion if any information we receive from you is outdated and inaccurate. Actions taken include account suspension, deletion, total ban on our Services and or taking legal actions.

J. USER REGISTRATION.

Upon registering for our Services, all codes and passwords must be kept confidential and you will be responsible for your account. We reserve the right to block use of usernames that are discriminative, inappropriate and or obscene.

K. BREACHES OF TERMS.

Breach of any of these Terms in any way gives us the right to take actions we deem appropriate to deal with the breach, including suspension from our Services, prohibition from our Services, blocking your IP address from accessing our Services and/or bringing court proceedings against you.

L. SOFTWARE TERMS.

These Terms relate to the update, upgrades and or any related credentials to software made available to you through our Services;

All software provided, used and managed by PinniSOFT is our sole property and is protected by Ugandan and international copyright laws.

Our software is used solely to enable you use to our Services as provided and guided by these Policies and Terms.

Using our Services may lead you to interact with services of one or more third parties that may be subject to separate policies and terms of use. It is your responsibility and risk as a user to read and accept these policies and terms

No tampering, hacking or otherwise interact with our Services and security if you are not authorized personnel.

Updates and upgrades maybe automatic or manual and we may offer them without any notice to you. It is your responsibility to check for upgrades and updates.

M. SERVICES MANAGEMENT.

We have the right but are not obliged to;

1. Monitor and supervise our Services for violations of Terms and Policies.
2. Take appropriate legal action against anyone who, in our sole discretion, violates our Terms and Policies.
3. Remove from our Services or freeze out files and logs that are heavy to our systems. This may be done at our discretion with full power within applicable laws.
4. Manage our Services in a manner protecting our rights and property and facilitate proper functioning of services.
